Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Spatz SEO WordPress plugin, license keys, update services, support services, documentation, account portal, and the spatzseo.com website (collectively, the “Service”).

The Service is operated by Spatz SEO (“Spatz SEO,” “Spatz,” “we,” “us,” or “our”).

By accessing spatzseo.com, creating an account, purchasing a license, downloading the plugin, installing the plugin, activating a license key, updating the plugin, configuring the plugin, using the plugin, connecting an API key, requesting support, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, do not access spatzseo.com, do not create an account, do not purchase the plugin, do not download the plugin, do not install the plugin, do not activate the plugin, and do not use the Service.

If you are accepting these Terms on behalf of a business, company, client, agency, or other organization, you represent that you have authority to bind that organization, and “you” means that organization.

1. Who can use the Service

You must be at least 18 years old and legally capable of entering into a binding contract.

The Service is intended for individuals, agencies, businesses, website owners, developers, and organizations operating WordPress websites for business, professional, commercial, or organizational purposes.

To the maximum extent permitted by law, you represent that you are purchasing and using the Service for business, professional, commercial, or organizational purposes and not primarily for personal, family, or household use.

Nothing in these Terms limits any consumer, privacy, data-protection, or other legal right that cannot be waived under applicable law.

2. Your account and license

When you purchase Spatz SEO, you receive the commercial entitlements stated at checkout, which may include:

  • a license key tied to your account, email address, domain, or order;
  • access to download the plugin;
  • the right to activate the license key on the number of production websites covered by your plan;
  • access to plugin updates during your active license term;
  • access to standard support during your active license term;
  • access to the AI features, including the SEO agent and Auto-Blog, during your active license term;
  • access to documentation, account features, and other commercial benefits we provide.

Your license key is confidential. You are responsible for keeping your license key, account login, password, email account, WordPress admin account, API keys, and other credentials secure.

You may not share, sell, rent, lease, publish, sublicense, transfer, pool, expose, distribute, or otherwise make your license key or account access available to any third party.

Sharing a license key, exceeding your activation limit, attempting to bypass activation limits, using one license on more websites than your plan allows, or abusing our license system is a material breach of these Terms and may result in immediate suspension or termination without refund.

We may use reasonable technical measures to validate license keys, count activations, prevent abuse, deliver updates, protect the Service, and enforce these Terms. These measures may include collecting or processing account information, license key information, site URL, domain, IP address, plugin version, WordPress version, PHP version, activation status, timestamps, server response data, and related technical information, as described in our Privacy Policy.

3. WordPress, GPL, and commercial entitlements

Spatz SEO is distributed for use with WordPress.

To the extent any part of the plugin is licensed under the GNU General Public License version 2 or later (“GPL”) or another open-source license, your rights to copy, modify, and redistribute that GPL-covered code are governed by the applicable open-source license.

These Terms do not restrict any rights you have under the GPL or another applicable open-source license.

However, the GPL and other open-source licenses do not grant you any right to:

  • use, share, resell, publish, transfer, or distribute your Spatz SEO license key;
  • access our paid update servers without a valid active license;
  • access our license-validation services without a valid active license;
  • access our account portal without authorization;
  • access our support services without a valid active license;
  • use our trademarks, trade names, logos, mascot, branding, proprietary graphics, website content, documentation, support materials, marketing materials, non-code assets, or proprietary services except as expressly allowed by us;
  • impersonate Spatz SEO;
  • suggest that your redistributed, modified, or copied version is official, endorsed, supported, maintained, or approved by Spatz SEO;
  • remove or alter copyright, trademark, attribution, license, or legal notices where removal is not permitted by applicable law or license terms;
  • interfere with, scrape, overload, probe, attack, reverse engineer, or abuse our website, servers, systems, account portal, license APIs, update APIs, support systems, payment systems, or other infrastructure.

Your paid commercial license is for license-key activation, updates, support, account access, hosted services, update services, license-validation services, commercial features, and other commercial benefits. It is not a restriction on rights you may have under applicable open-source licenses.

4. Permitted use

Subject to these Terms and your active license, you may:

  • install and use Spatz SEO on the number of websites covered by your plan;
  • use the plugin for lawful SEO-related purposes;
  • use the plugin on websites you own, operate, manage, or are authorized to administer;
  • modify GPL-covered plugin code for your own use, subject to the applicable open-source license;
  • access standard support and updates while your license is active.

You are responsible for making sure your website, content, hosting environment, WordPress installation, plugins, themes, users, customer data, privacy practices, SEO practices, and use of the Service comply with applicable laws, contracts, platform rules, and third-party rights.

5. Prohibited use

You may not:

  • share, publish, resell, rent, lease, transfer, sublicense, expose, distribute, or pool your license key;
  • use one license key for more websites than your plan allows;
  • bypass, disable, tamper with, or attempt to circumvent license validation, activation limits, security controls, usage limits, update controls, or account controls;
  • use the Service to violate any law, regulation, contract, privacy obligation, data-protection obligation, intellectual-property right, confidentiality obligation, or third-party right;
  • use the Service to send spam, distribute malware, scrape unlawfully, conduct abusive automation, or perform attacks;
  • use the Service in a way that overloads, disrupts, damages, reverse engineers, probes, scans, or interferes with our infrastructure or any third-party service;
  • use the Service to process, transmit, generate, or publish content you do not have the right to use;
  • use the Service for high-risk, emergency, medical, legal, financial, credit, employment, housing, insurance, government-benefit, life-safety, or other regulated decision-making without independent qualified review;
  • represent that AI-generated output, SEO output, schema, metadata, alt text, recommendations, or plugin-generated output is verified, guaranteed, endorsed, or produced by Spatz SEO;
  • use the Service for unlawful, abusive, deceptive, misleading, harmful, infringing, defamatory, obscene, hateful, or malicious activity.

6. Pricing, payment, taxes, and renewals

Prices are shown at checkout and may change for future purchases or renewals. The price you pay at checkout applies to the license term purchased.

Unless stated otherwise at checkout, Spatz SEO is sold as an annual license. Your active license gives you access to commercial entitlements such as updates, support, license validation, account access, and other paid benefits during the license term.

If your plan is configured for automatic renewal, you authorize us and our payment processor to charge your saved payment method for renewal fees and applicable taxes at the then-current renewal price unless you cancel before the renewal date.

You may cancel future renewals from your account page or by opening a support ticket.

Cancelling renewal stops future renewal charges. It does not cancel the current license term, and it does not automatically entitle you to a refund for the current term unless required by law or expressly stated in these Terms.

Taxes may include sales tax, VAT, GST/HST, HST, PST, QST, or similar amounts. We collect applicable taxes where legally required. You are responsible for taxes, duties, or charges we are not required to collect.

Payments are processed by third-party payment processors, currently including Stripe. We do not store full payment-card details. Your payment may also be subject to the payment processor’s terms and policies.

7. Refunds

We offer a one-time 14-day money-back guarantee for initial purchases of Spatz SEO.

To request a refund, open a support ticket within 14 days after your initial purchase. If approved, we will refund the amount paid for the initial license purchase using the original payment method where possible.

The 14-day guarantee does not apply to:

  • renewal payments;
  • accounts terminated for breach of these Terms;
  • license-key sharing;
  • license abuse;
  • fraud;
  • excessive activations;
  • circumvention attempts;
  • chargeback abuse;
  • repeat purchases made after a prior refund;
  • custom work;
  • migration work;
  • consulting;
  • priority support;
  • setup services;
  • taxes, fees, or charges that payment processors or law do not allow us to refund.

After a refund, your license key, updates, support, account access, and commercial entitlements may be disabled.

You are responsible for uninstalling the plugin or continuing only in a manner permitted by applicable open-source licenses.

Nothing in this section limits any refund, withdrawal, cancellation, or remedy that cannot be waived under applicable law.

8. EU, EEA, and UK digital-content rights

If you are a consumer in the European Union, European Economic Area, or United Kingdom, you may have statutory cancellation or withdrawal rights for digital content.

Where permitted by law, by downloading, installing, activating, accessing, or using Spatz SEO before the end of the applicable withdrawal period, you expressly request immediate performance and acknowledge that you may lose your statutory withdrawal right for digital content supplied other than on a tangible medium.

Our voluntary refund policy is separate from any non-waivable statutory rights.

9. Updates

During an active license term, we may provide updates, bug fixes, compatibility updates, security patches, feature changes, or other modifications.

We do not guarantee that updates will be released on any particular schedule.

We do not guarantee that every bug, vulnerability, defect, compatibility issue, security issue, or performance issue will be discovered, patched, corrected, or corrected within any particular time.

We do not guarantee that the plugin will remain compatible with every WordPress version, PHP version, MySQL/MariaDB version, theme, plugin, browser, server, host, CDN, firewall, cache, API, or third-party service.

We may add, change, suspend, remove, or discontinue features at any time, including for legal, security, technical, abuse-prevention, third-party API, business, or product reasons.

You are responsible for backing up your website and testing updates before applying them to a production website.

If your license lapses, the plugin and your website keep working. SEO the plugin has already applied, such as meta titles and descriptions, schema, sitemaps, and redirects, stays in place, and your saved SEO data is retained. The AI features, including the SEO agent and Auto-Blog, pause, and you will no longer receive updates, support, license services, or other commercial entitlements, unless you renew.

10. Support

Active licenses include standard support through our support ticket system.

Support is provided during our normal business hours, excluding weekends, public holidays, emergencies, outages, and times when support is unavailable.

We may provide estimated response times, but we do not guarantee any response time, resolution time, fix, workaround, result, or outcome.

Support does not include:

  • custom development;
  • custom SEO strategy;
  • guaranteed ranking improvements;
  • debugging issues caused by unrelated plugins, themes, hosting, DNS, CDN, cache, firewall, malware, hacked sites, custom code, or server configuration;
  • fixing modified versions of the plugin;
  • repairing, restoring, rebuilding, cleaning, or securing your website;
  • data migration beyond built-in tools;
  • writing, editing, reviewing, or verifying your website content;
  • legal, privacy, financial, medical, tax, accessibility, compliance, or professional advice;
  • support for expired, refunded, terminated, shared, abused, or invalid licenses.

We may refuse, limit, suspend, or terminate support for abusive, unlawful, excessive, threatening, harassing, or unreasonable requests.

11. AI features and your Anthropic API key

Spatz SEO may include AI-powered features that allow your WordPress site to send content to Anthropic, PBC or another AI provider for processing.

Unless we expressly state otherwise, you bring your own Anthropic API key.

You are responsible for creating and maintaining your Anthropic account, API key, billing, usage limits, privacy settings, data-retention settings, account security, and compliance with Anthropic’s terms and policies.

We do not control Anthropic, its models, pricing, rate limits, uptime, data practices, content filters, API availability, output, policy changes, or service changes.

When you use AI features, the plugin may send selected website content to the AI provider, which may include:

  • page content;
  • post content;
  • product content;
  • download content;
  • metadata;
  • prompts;
  • instructions;
  • image files;
  • alt-text context;
  • schema context;
  • SEO data;
  • conversation context;
  • other content you choose to process.

You are solely responsible for:

  • deciding what content is sent to the AI provider;
  • ensuring you have all necessary rights and permissions;
  • obtaining any required consents;
  • complying with privacy, data-protection, confidentiality, contractual, and professional obligations;
  • avoiding submission of sensitive, regulated, confidential, personal, customer, health, financial, children’s, or legally protected information unless you are legally permitted to do so;
  • reviewing all AI-generated output before using or publishing it;
  • paying all AI-provider costs, overages, and fees;
  • monitoring API usage and spend.

AI output may be inaccurate, incomplete, outdated, offensive, biased, infringing, unlawful, non-compliant, unsuitable, or harmful. AI output may contain hallucinations, fabricated facts, misleading claims, incorrect schema, incorrect SEO recommendations, incorrect alt text, or incorrect metadata.

You must independently review, edit, verify, and approve AI output before publishing, relying on, or using it.

To the maximum extent permitted by law, we are not responsible or liable for:

  • AI output;
  • Anthropic charges;
  • API costs;
  • API overages;
  • API rate limits;
  • API outages;
  • API failures;
  • prompt results;
  • AI-generated content;
  • indexing results;
  • ranking results;
  • deindexing;
  • SEO results;
  • legal compliance of generated content;
  • harm caused by publishing or relying on AI-generated content;
  • privacy issues caused by content you send to an AI provider.

Daily spend caps, logs, controls, warnings, safeguards, and settings in the plugin are provided as convenience features only. We do not guarantee that they will prevent all costs, misuse, data transfer, unintended output, or harm.

12. Third-party services

The Service may integrate with, communicate with, or depend on third-party services, APIs, platforms, tools, or providers, including but not limited to WordPress, Anthropic, Google, Microsoft Bing, Yandex, Baidu, Pinterest, Naver, indexing services, payment processors, email providers, hosting providers, analytics providers, security providers, CDN providers, and other services.

Third-party services are governed by their own terms, policies, fees, limits, and availability.

To the maximum extent permitted by law, we are not responsible or liable for third-party services, including:

  • outages;
  • errors;
  • data loss;
  • API failures;
  • API changes;
  • policy changes;
  • price changes;
  • discontinuation;
  • suspension;
  • account termination;
  • rate limits;
  • security incidents;
  • privacy incidents;
  • payment issues;
  • content decisions;
  • indexing decisions;
  • ranking decisions;
  • deindexing;
  • service unavailability.

We may modify, suspend, or remove integrations at any time.

13. Your website, content, and data

You retain ownership of your website content.

You are solely responsible for:

  • your website;
  • your content;
  • your WordPress installation;
  • your hosting environment;
  • your server;
  • your database;
  • your backups;
  • your WordPress administrator accounts;
  • your users and user permissions;
  • your license key;
  • your API keys;
  • your SEO settings;
  • your schema;
  • your metadata;
  • your redirects;
  • your robots directives;
  • your indexing settings;
  • your AI-generated content;
  • your privacy policy;
  • your cookie notices;
  • your user consents;
  • your compliance with applicable laws;
  • your customers, visitors, users, clients, contractors, and third parties;
  • verifying that plugin output is accurate, lawful, non-infringing, and appropriate.

We do not guarantee that your website will rank, index, remain indexed, receive traffic, avoid penalties, avoid deindexing, generate revenue, improve conversions, pass audits, comply with platform rules, comply with any law, or avoid errors.

14. Customer security responsibilities

You are solely responsible for securing, maintaining, backing up, testing, monitoring, and restoring your own website, server, database, files, accounts, credentials, API keys, content, and business operations.

You are solely responsible for:

  • using strong passwords;
  • using multi-factor authentication where available;
  • protecting your WordPress administrator accounts;
  • protecting your Spatz SEO account login;
  • protecting your license key;
  • protecting your Anthropic API key and other API keys;
  • restricting administrator access to trusted users only;
  • keeping WordPress updated;
  • keeping PHP, MySQL/MariaDB, themes, plugins, and hosting software updated;
  • using reputable hosting;
  • using reasonable server security;
  • using malware scanning where appropriate;
  • using firewalls where appropriate;
  • maintaining current off-site backups;
  • testing plugin updates on a staging site before using them in production;
  • monitoring your website for malware, suspicious activity, broken functionality, SEO issues, and unauthorized changes;
  • restoring your own website if a problem occurs.

Spatz SEO has no obligation to repair, restore, clean, recover, rebuild, secure, monitor, compensate, or maintain your website, data, rankings, revenue, or business operations.

15. Security, hacking, and website risk

You understand and agree that using any WordPress plugin, website, online account, API, software product, or internet-connected service involves security, privacy, compatibility, availability, performance, SEO, data-loss, and business risks.

To the maximum extent permitted by law, Spatz SEO is not responsible or liable for any loss, damage, claim, cost, expense, interruption, security incident, privacy incident, data loss, data corruption, website downtime, malware infection, unauthorized access, unauthorized use, vulnerability, exploit, hack, breach, defacement, SEO loss, ranking loss, indexing loss, deindexing, revenue loss, business loss, reputation loss, customer claim, regulatory claim, or third-party claim arising out of or related to:

  • your creation or use of an account on spatzseo.com;
  • your access to spatzseo.com;
  • your purchase of Spatz SEO;
  • your download of Spatz SEO;
  • your installation of Spatz SEO;
  • your activation of Spatz SEO;
  • your configuration of Spatz SEO;
  • your update of Spatz SEO;
  • your modification of Spatz SEO;
  • your use of Spatz SEO;
  • your WordPress website;
  • your hosting environment;
  • your server;
  • your database;
  • your CDN;
  • your DNS;
  • your email system;
  • your plugins;
  • your themes;
  • your custom code;
  • your admin users;
  • your passwords;
  • your API keys;
  • your access tokens;
  • your backups;
  • your security settings;
  • our website;
  • our account system;
  • our license system;
  • our update system;
  • our support system;
  • our email system;
  • our payment processor;
  • our third-party providers;
  • any third-party system or service.

To the maximum extent permitted by law, Spatz SEO is not responsible or liable for any compatibility issue between Spatz SEO and WordPress, PHP, MySQL/MariaDB, your hosting provider, your server configuration, your theme, another plugin, a browser, a caching layer, a firewall, a CDN, an API, or a third-party service.

To the maximum extent permitted by law, Spatz SEO is not responsible or liable for any vulnerability, bug, defect, coding error, configuration issue, exploit, malware infection, security weakness, unauthorized access, data loss, data corruption, downtime, or other harm affecting the plugin, your website, our website, your account, our systems, or any third-party system.

To the maximum extent permitted by law, Spatz SEO is not responsible or liable for any third-party attack, brute-force attack, credential-stuffing attack, phishing attack, malware attack, supply-chain attack, denial-of-service attack, vulnerability scan, exploit attempt, unauthorized access, server compromise, account compromise, or security event.

To the maximum extent permitted by law, Spatz SEO is not responsible or liable for any action or omission by WordPress, your host, another plugin developer, a theme developer, Anthropic, Stripe, Google, Microsoft, Yandex, Baidu, Pinterest, Naver, an indexing provider, a payment processor, an email provider, a CDN provider, a security provider, or any other third party.

You agree that you install and use Spatz SEO at your own risk.

You should create a full backup of your website before installing, activating, updating, configuring, modifying, or using the plugin.

Spatz SEO may provide security updates, bug fixes, notices, warnings, recommendations, logs, safeguards, controls, or documentation. These are provided as convenience features only. We do not guarantee that they will detect, prevent, stop, fix, or mitigate any vulnerability, exploit, attack, security issue, privacy issue, data loss, unauthorized access, or other harm.

Nothing in this section limits any responsibility that cannot be excluded under applicable law.

16. Privacy and data protection

Our collection and use of personal information is described in our Privacy Policy.

To the extent we process personal information on your behalf as a processor, service provider, or similar role, such processing may be subject to a Data Processing Addendum if applicable and available.

You are responsible for determining whether your use of the Service requires user consent, contractual terms, privacy notices, cookie notices, data-processing agreements, transfer mechanisms, records of processing, impact assessments, security measures, or other compliance measures.

You must not use the Service to collect, process, transmit, disclose, or generate personal information in violation of applicable law.

We use reasonable administrative, technical, and organizational safeguards designed to protect personal information in our control. However, no website, plugin, server, account system, payment system, email system, API, software product, or internet-connected service can be guaranteed to be completely secure.

You acknowledge that you provide information to us and use the Service at your own risk.

To the maximum extent permitted by law, we are not responsible for unauthorized access, disclosure, loss, alteration, corruption, or misuse of information caused by events outside our reasonable control, including attacks on third-party services, compromised customer credentials, insecure customer devices, customer misconfiguration, hosting-provider failures, payment-processor incidents, email-provider incidents, WordPress vulnerabilities, plugin vulnerabilities, theme vulnerabilities, third-party acts, or third-party omissions.

Where required by applicable law, we will assess and respond to security incidents involving personal information under our control, including providing notices, reports, or records required by law.

17. Intellectual property and branding

As between you and Spatz SEO, Spatz SEO owns all rights, title, and interest in and to the Spatz SEO name, logos, mascot, branding, website, documentation, non-code assets, marketing materials, support materials, license systems, update systems, account systems, proprietary services, trade secrets, and other materials we provide, except for open-source components or third-party materials governed by their own licenses.

Subject to applicable open-source licenses, you receive a limited right to use the plugin and commercial entitlements under these Terms. You receive no ownership of Spatz SEO intellectual property.

Your site content remains yours.

You may not use our name, logo, mascot, branding, or trademarks in a way that suggests endorsement, sponsorship, affiliation, official status, or approval without our prior written permission.

You may not copy, scrape, reproduce, republish, redistribute, or commercially exploit our website, documentation, support materials, screenshots, marketing materials, proprietary graphics, or non-code assets except as permitted by law or with our written permission.

18. Feedback

If you send us suggestions, ideas, bug reports, feature requests, testimonials, comments, or other feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable license to use, copy, modify, publish, distribute, display, create derivative works from, and exploit that feedback for any purpose without compensation or obligation to you.

19. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” “WITH ALL FAULTS,” AND AT YOUR OWN RISK.

SPATZ SEO DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, AND GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, COMPATIBILITY, AND ERROR-FREE OPERATION.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT, REPRESENT, OR GUARANTEE THAT:

  • the Service will be uninterrupted, secure, error-free, bug-free, vulnerability-free, malware-free, or available at any particular time;
  • the plugin, website, account system, license system, update system, support system, payment system, or any related service will be protected from hacking, unauthorized access, data loss, malware, exploits, vulnerabilities, or security incidents;
  • any defect, vulnerability, exploit, compatibility issue, or security issue will be discovered, patched, corrected, or corrected within any particular time;
  • the plugin will be compatible with your website, hosting provider, server configuration, database, theme, plugins, WordPress version, PHP version, browser, cache, firewall, CDN, API, or third-party service;
  • the Service will improve SEO, rankings, indexing, traffic, conversions, revenue, leads, sales, or business results;
  • AI-generated content, SEO recommendations, schema, metadata, alt text, redirects, technical SEO settings, or other output will be accurate, lawful, original, non-infringing, compliant, safe, suitable, or beneficial;
  • your website will remain online, secure, indexed, ranked, functional, profitable, compliant, or free from errors.

You are solely responsible for testing the plugin, reviewing all settings and output, maintaining backups, securing your website, and deciding whether the Service is suitable for your use.

Some jurisdictions do not allow the exclusion of certain warranties, conditions, or guarantees. In those jurisdictions, the exclusions above apply only to the maximum extent permitted by law.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPATZ SEO, ITS OWNER(S), DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES OF ANY KIND.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR:

  • lost profits;
  • lost revenue;
  • lost sales;
  • lost leads;
  • lost traffic;
  • lost search rankings;
  • lost indexing;
  • deindexing;
  • lost business opportunities;
  • loss of goodwill;
  • loss of reputation;
  • business interruption;
  • website downtime;
  • account downtime;
  • data loss;
  • data corruption;
  • cost of restoring data;
  • cost of restoring a website;
  • cost of substitute software or services;
  • security incidents;
  • privacy incidents;
  • unauthorized access;
  • hacking;
  • malware;
  • vulnerabilities;
  • exploits;
  • plugin conflicts;
  • hosting failures;
  • third-party API failures;
  • AI-provider charges;
  • AI-output errors;
  • payment disputes;
  • customer claims;
  • regulatory claims;
  • third-party claims.

The limitations above apply even if we were advised of the possibility of those damages, even if a remedy fails of its essential purpose, and regardless of the legal theory, including contract, tort, negligence, strict liability, statute, equity, or otherwise.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE, THE WEBSITE, YOUR ACCOUNT, YOUR LICENSE, THE PLUGIN, SUPPORT, UPDATES, AI FEATURES, THIRD-PARTY SERVICES, SECURITY ISSUES, PRIVACY ISSUES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID DIRECTLY TO SPATZ SEO FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. USD $100.

You agree that this liability cap is a fundamental part of the bargain between you and Spatz SEO and that we would not provide the Service without these limitations.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, intentional misconduct, or any other liability that the law does not allow us to exclude.

21. Account and use acknowledgement

By creating an account, accessing spatzseo.com, purchasing a license, downloading the plugin, installing the plugin, activating a license key, connecting an API key, using the plugin, requesting support, or continuing to use the Service, you acknowledge and agree that:

  • you use Spatz SEO at your own risk;
  • Spatz SEO is not responsible for securing, backing up, repairing, restoring, or maintaining your website;
  • Spatz SEO is not responsible for hacks, malware, vulnerabilities, plugin conflicts, hosting issues, data loss, ranking loss, indexing loss, deindexing, revenue loss, or business interruption;
  • Spatz SEO is not responsible for your WordPress site, hosting, backups, credentials, users, content, plugins, themes, API keys, privacy compliance, or security practices;
  • the plugin and website are provided “as is” and “as available” to the maximum extent permitted by law;
  • our liability is limited as stated in these Terms.

22. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Spatz SEO, its owners, directors, officers, employees, contractors, agents, suppliers, licensors, service providers, successors, and assigns from and against all claims, demands, actions, damages, losses, liabilities, penalties, fines, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your website;
  • your content;
  • your customers;
  • your users;
  • your clients;
  • your use or misuse of the Service;
  • your breach of these Terms;
  • your violation of law or third-party rights;
  • your privacy, data-protection, confidentiality, or consent failures;
  • content or data you send to Anthropic or other third-party services;
  • AI-generated content you use, publish, or rely on;
  • your license-key sharing, abuse, fraud, or circumvention;
  • your modifications to the plugin;
  • your failure to back up, secure, maintain, monitor, or restore your website;
  • your WordPress installation, hosting, plugins, themes, server, database, credentials, API keys, security settings, or custom code;
  • disputes between you and your customers, users, clients, employees, contractors, partners, vendors, or third-party providers.

We may assume control of the defence of any matter subject to indemnification. You may not settle any claim in a way that imposes obligations, admissions, or liability on us without our prior written consent.

23. Suspension and termination

You may stop using the Service at any time.

We may suspend or terminate your license key, account, updates, support, account access, or access to the Service immediately, with or without notice, if we reasonably believe that:

  • you breached these Terms;
  • your payment failed;
  • your payment was reversed;
  • you initiated an improper chargeback;
  • you shared, sold, abused, exposed, or misused a license key;
  • your use creates security, legal, operational, reputational, privacy, or business risk;
  • your use overloads, attacks, probes, scrapes, or interferes with our systems;
  • you used the Service unlawfully, abusively, deceptively, or harmfully;
  • continuing to provide the Service would violate law, third-party rights, third-party service terms, or our business interests.

Upon termination, your right to commercial entitlements such as updates, support, license validation, account access, and hosted services ends.

Termination does not limit any rights you may have under applicable open-source licenses.

Sections intended to survive termination will survive, including payment obligations, license restrictions, intellectual property, privacy, security, disclaimers, limitation of liability, indemnification, dispute terms, and miscellaneous provisions.

24. Chargebacks and payment disputes

Before initiating a chargeback or payment dispute, you agree to contact us first by opening a support ticket so we can attempt to resolve the issue.

We may suspend or terminate your license key, account, support, updates, and access if you initiate a chargeback, payment reversal, or payment dispute.

If a chargeback or payment dispute is found to be improper, fraudulent, abusive, or inconsistent with these Terms, you are responsible for the amount owed, chargeback fees, collection costs, and reasonable legal fees to the extent permitted by law.

Nothing in this section limits any non-waivable payment-dispute rights you have under applicable law.

25. Changes to the Service or Terms

We may update these Terms from time to time. The “Last updated” date will show the latest revision.

Material changes will be posted on spatzseo.com and, where appropriate, sent to the email address associated with your account.

Changes apply prospectively.

During an active paid license term, we will not materially reduce your core paid commercial entitlements without a reasonable basis, such as legal compliance, security, abuse prevention, technical necessity, third-party service changes, discontinued functionality, or business necessity.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you must stop using the Service and cancel future renewals.

26. Export, sanctions, and lawful use

You may not use, export, re-export, download, or transfer the Service in violation of applicable export-control, sanctions, or trade laws.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions applicable to the Service, and that you are not listed on any applicable restricted-party list.

27. Governing law and disputes

These Terms are governed by the laws applicable where we operate the Service, without regard to conflict-of-law rules.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before starting a formal proceeding, you agree to open a support ticket and attempt to resolve the dispute informally. If the dispute is not resolved within 60 days, either party may proceed.

For business users, any formal dispute must be brought exclusively in the courts that have jurisdiction where we operate the Service, and you consent to the jurisdiction and venue of those courts.

For consumers, this jurisdiction clause applies only to the extent permitted by applicable law and does not limit non-waivable rights to bring claims in your home jurisdiction.

We may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property, confidential information, systems, license keys, website, accounts, or services.

To the maximum extent permitted by law, any claim must be brought within one year after the event giving rise to the claim, or it is permanently barred.

28. Consumer rights that cannot be waived

Nothing in these Terms limits any non-waivable statutory right you have as a consumer in your jurisdiction.

If anything in these Terms conflicts with a non-waivable consumer, privacy, data-protection, security-breach, payment, refund, withdrawal, warranty, or other statutory right, the non-waivable right prevails only to the extent of the conflict.

29. Miscellaneous

These Terms, together with our Privacy Policy, any applicable Data Processing Addendum, open-source notices, and order confirmation, form the entire agreement between you and us regarding the Service.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, change of control, or by operation of law.

Notices to us must be submitted through our support ticket system.

Notices to you may be sent to the email address associated with your account, posted through the Service, or posted on spatzseo.com.

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, labour disputes, internet failures, hosting failures, power failures, third-party service outages, cyberattacks, governmental action, changes in law, or infrastructure failures.
